TERMS & CONDITIONS

1. Definitions

In these conditions, unless the context requires otherwise

1.1. ‘Buyer’ means the person who buys or agrees to buy the goods from the seller;
1.2. ‘Conditions’ means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the seller;
1.3. ‘Delivery Date’ means the date specified by the seller when the goods are to be delivered
1.4. ‘Goods’ means the articles which the buyer agrees to buy from the seller;
1.5. ‘Price’ means the price for the goods excluding carriage, alteration, packing, insurance, delivery and VAT
1.6. ‘Seller’ means Ivory Tower Brides Limited of 60 Salisbury Road, St Judes, Plymouth

2. Conditions applicable

2.1. These conditions shall apply to all contracts for the sale of goods by the seller to the buyer to the exclusion of all other terms and conditions including any terms or conditions which the buyer may implicate to apply under any purchase order, confirmation of order or similar document.
2.2. All orders for goods shall be deemed to be an offer by the buyer to purchase goods to these conditions.
2.3. Payment of 60% of the purchase price of the goods shall be deemed conclusive evidence of the buyer’s acceptance of these conditions.
2.4. Any variations to these conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by one of the directors of Ivory Tower Brides Limited.

3. Price and Payment

3.1. The price shall be the price set out on your sales document. The price is exclusive of VAT and does not include delivery, any required alteration charges, carriage, packaging or insurance.
3.2. The buyer must pay 50% of the purchase price of the goods when placing an order.
3.3. Payment must be received by Ivory Tower Brides Ltd in full before the goods may be collected by the buyer, or alternatively before a date for delivery can be arranged by Ivory Tower Brides Ltd.

4. The Goods

The quantity and description of the goods shall be as set out in the seller’s order form.

5. Delivery of the goods

5.1. Delivery of the goods shall be made by the buyer collection the goods at Ivory Tower Brides Ltd’s premises at any time after the seller has notified the buyer that the goods are available for collection subject to payment having been made in full.
5.2. Any dates referred to by Ivory Tower Brides Ltd for collection or delivery of the goods is approximate only and Ivory Tower Brides Ltd shall not be liable for any delay in delivery of the goods howsoever caused.
5.3. Any failure on behalf of Ivory Tower Brides Ltd to deliver the goods for any reason than any cause beyond Ivory Tower Brides Ltd’s reasonable control or the buyer’s fault, and Ivory Tower Brides Ltd is accordingly liable to the buyer, Ivory Tower Brides liability shall be limited to the refund of the price of the goods.
5.4. Should the buyer fail to take delivery of the foods then subject to the discretion of the directors of Ivory Tower Brides Ltd, Ivory Tower Brides Ltd may:
5.4.1. Store the goods until delivery or collection of the goods, and charge the buyer for any reasonable costs incurred, which may include insurance, of the storage; or
5.4.2. Sell the goods at the best price readily obtainable and charge the buyer for any shortfall below the price under the contract,
5.4.3. Keep any or all the money paid by the buyer when placing the order to assist in discharging the financial obligations of the buyer to Ivory Tower Brides Ltd.
5.5. Ivory Tower Brides Ltd shall not be bound to deliver the goods until the buyer has paid for them. Payment shall be due before delivery or collection. The price is exclusive of VAT, any alterations, charges, and any delivery charges.

6. General

6.1. The contract is subject to the Law of England and Wales.
6.2. All disputes rising out of this contract shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
6.3. The seller may cancel this contract at any time before the goods are delivered by giving written notice. On giving such notice the seller shall promptly repay to the buyer any sums paid in respect of the price. The seller shall not be liable to any loss or damage whatsoever arising from such cancellation.

7. Warranties and Liability

7.1. The seller warrants that the goods supplied will at the time of delivery correspond to the description given by the seller at the time of accepting the order subject to the conditions set out below.
7.2. Ivory Tower Brides Ltd shall not be under any liability in respect of any defect or deterioration in the goods arising from wear and tear, woeful damage, negligence, unsuitable storage conditions, failure to follow Ivory Tower Brides Ltd’s instructions, whether oral or in writing, misuse or alterations of the goods without Ivory Tower Brides Ltd’s approval.
7.3. No guarantee or warranty is given that the goods supplied will exactly match any sample garment viewed or tried on or any sample or material shown. This is due to natural deviations in fabric and therefore the colour and make up of the fabric may vary from garment to garment.
7.4. Ivory Tower Brides Ltd shall not be under and liability where Ivory Tower Brides Ltd has not been afforded an opportunity by the buyer to examine any goods which are subject of a claim before goods have been further processed used or otherwise dealt with.
7.5. The buyer shall inspect the goods on delivery and shall within 7 days of delivery notify the seller of any alleged defects, damages, or failure to comply with description. The buyer shall afford the seller an opportunity to inspect the goods within a reasonable time following delivery and before any use is made of them. If the buyer shall fail to comply with these provisions the goods shall be conclusively presumed to be in accordance with the contract and free from any defect or damage which would be apparent on a reasonable examination of the goods and the buyer shall be deemed to have accepted the goods.
7.6. If the goods are not in accordance with the contract for any reason the buyer’s sole remedy shall be limited to the seller making good any shortage by replacing such goods, or if the seller shall elect, by refund a proportionate part of the price.
7.7. The seller’s liability to the buyer, whether for any breach of contract or otherwise, shall not in any event exceed the price and the seller shall be under no liability for any direct loss and/or expense or indirect loss and/or expense suffered by the buyer or liability to third parties incurred by the buyer.
7.8. All warranties and conditions whether implied by statute or otherwise are excluded from this contract provided that nothing in this contract shall restrict or exclude liability for death or personal injury caused by negligence of the seller or affect the statutory rights of the buyer dealing as consumer.

8. Returns policy

8.1. Under the Sale of Goods Act 1979, a consumer may be entitled to a refund, replacement, repair and/or compensation where goods are faulty or not as described. Ivory Tower Brides Ltd shall only offer a refund in accordance with your statutory rights.
